IMPORTANT — This is a legal agreement between you (either an individual or an entity) and edgeNEXUS Solutions Ltd.  By using edgeNEXUS (the “software”), you acknowledge that you have read this license agreement, understand it, and agree to be bound by its terms.  You further agree that it is the full and complete agreement between us, superseding all prior written or verbal agreements of any kind.  If you do not understand or do not agree to the terms of this agreement, you must cease using the software immediately, promptly remove the software from your computer, and return all materials (including all disks, CDs, and written materials) to edgeNEXUS Solutions Ltd.

REGISTERED VERSION LICENSE

GRANT OF LICENSE.  One registered copy of the software may be installed and run on a single virtual machine server for which you have paid the license fee.  (Other licensing options are available – for details,  please contact edgeNEXUS Solutions Ltd.)

COPYRIGHT.  The software is owned by edgeNEXUS Solutions Ltd and is protected by UK and US copyright laws as well as international treaty provisions and copyright laws.  You must therefore treat the software like any other copyrighted material (e.g. a book or musical recording) except that you may make one copy of the registered version of the software solely for backup or archival purposes.  You may not make multiple copies of the registered version of the software or copy the written materials accompanying the software.

OTHER RESTRICTIONS.  You may not reverse engineer, decompose, or disassemble the software. If the software is an update or has been updated, any transfer must include the most recent update and all prior versions.

HIGH RISK ACTIVITIES. The software is not fault tolerant and is not designed, manufactured or intended for use or resale as online control equipment in hazardous environments requiring failsafe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the software could lead directly to death, personal injury, or severe physical or environmental damage.  (“High Risk Activities”).  Accordingly, edgeNEXUS Solutions Ltd and its suppliers specifically disclaim any expressed or implied warranty or fitness for High Risk Activities and no license is granted to use the software for such activities.

GOVERNING LAW.  This agreement shall be governed by the laws of the United Kingdom.

REGISTERED VERSION LIMITED WARRANTY.  THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD “AS IS” AND WITHOUT WARRANTIES AS TO THE PERFORMANCE OR MERCHANTIBILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED.  Because of the various hardware and software environments into which the software may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED.  The user must assume the entire risk of the software.  ANY LIABILITY OF THE SELLER WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF PURCHASE PRICE.

EVALUATION VERSION LICENSE

EVALUATION AND REGISTRATION.  This is not free software.  Subject to the terms below, you are hereby licensed to use the software for evaluation purposes without charge for a period determined by the License Key provided with the software (normally 30 days). If you use this software after the evaluation period, a registration fee must be paid to edgeNEXUS Solutions Ltd. Unregistered use of the software after the evaluation period is in violation of UK, US as well as international treaty provisions and copyright laws.

DISTRIBUTION.  Provided that you verify that you are distributing the evaluation version of the software, you are hereby licensed to make as many copies of the evaluation version of this software as you wish; give exact copies of the original evaluation version to anyone; and distribute the evaluation version of the software in its unmodified form via electronic means.  There is no charge for any of the above.

You are specifically prohibited from charging, or requesting donations, for any such copies, however made; and from distributing the software with other products (commercial or otherwise) without prior written permission.
